Outside General Counsel

&

Subject Matter Counsel

For companies who do not have the resources or needs for a fully staffed legal department, engaging an attorney to provide services as fractional general counsel or subject matter support for the company can be a great fit. Clients benefit from the knowledge, objectivity, and support of an attorney without the investment of a full-time employee.

  • Hourly

Church Legal regularly acts both as outside general counsel and subject matter counsel in a supportive role for corporate clients, legal departments, and other lawyers and law firms. These services are generally billed hourly, in quarter of an hour increments.

For clients who would like additional billing certainty, we provide monthly fixed fee options. Services beyond those included in the fixed fee engagement are charged on an hourly basis.

  • Fixed Fees/Subscription

Church Legal offers outside general counsel and subject matter counsel services using a fixed fee subscription model to meet existing client needs, encourage utilization of legal resources, and provide a predictable monthly expense. Services beyond those included in the fixed fee engagement are charged on an hourly basis.

Examples of Subject Matter Support

  • IP Management

Church Legal supports businesses and other law firms in identifying, protecting, and managing intellectual property (IP) assets. An IP portfolio may be one of the most valuable assets of a company, and one that is often overlooked.

We work with clients to identify the IP assets that a company may have, discuss options for enhanced protection, and the cost/benefit analysis of each option. Common IP assets include trademark, copyright, patent, and trade secret.

  • HIPAA

Church Legal advises on rights and responsibilities related to protected health information and data privacy and security under HIPAA, HITECH, and applicable state laws.

We assist with contract review and drafting agreements, including Business Associate Agreements.

We advise on potential breaches of PHI, evaluating whether a security incident is a breach, applicable notification obligations under law and/or by contract, as well as implementing a corrective action plan.

  • IP Infringement

Whether a client has received a cease-and-desist letter or has uncovered potential infringement that it would like to police, Church Legal assists with evaluating the allegations and available next steps for the client’s consideration.

We will work with clients to seek resolution and will also support civil litigators by providing subject matter support during potential and pending litigation.

We assist clients with filing letters of protest, trademark oppositions, and cancellations.

  • Stark & Antikickback

The legal landscape for those in the healthcare industry is constantly in flux. We assist clients in evaluating compliance with self-referral and anti-kickback laws and regulations, including federal and state laws, as well as contractual obligations that often mirror such requirements in the private payor context.

We evaluate the applicability of safe harbors to proposed financial relationships, and draft agreements with an eye toward compliance.
